Fold – Affiliate Program Agreement

This Affiliate Program Agreement (“Agreement”) governs your participation in the Fold Affiliate Program (“Program”), operated by Fold Works, Inc. (“Fold”, “we”, “our”, or “us”). By applying to the Program, or by continuing to participate after being approved, you (“Affiliate”, “you”, or “your”) agree to this Agreement.

This Agreement is separate from and in addition to Fold’s general Terms of Service. If you use Fold as a buyer, seller, or any other kind of user, the Terms of Service continues to govern that use. This Agreement applies specifically to your participation in the Affiliate Program. If anything in this Agreement conflicts with the Terms of Service on a matter specific to the Program, this Agreement controls.

We may modify this Agreement at any time, as described in Section 13 (Program Modifications). Continued participation in the Program after a change takes effect constitutes acceptance of the updated Agreement.


1. Overview of the Fold Affiliate Program

The Fold Affiliate Program allows approved partners (“Affiliates”) to earn commissions by referring new users, sellers, and subscribers to Fold. Affiliates promote Fold using a unique referral link or code and earn commissions when referred users take qualifying actions on the platform, as described in Section 5 (Commission Structure).

Participation in the Program is voluntary, and Fold may offer, withhold, or discontinue the Program, or any part of it, at its sole discretion.


2. Eligibility

To participate in the Program, you must:

Fold may decline or revoke eligibility for any applicant or Affiliate at its sole discretion, including for reasons not explicitly listed in this Agreement.


3. Approval Process

Participation in the Program is not automatic. Every application is reviewed by the Fold team, and Fold may approve, deny, or place conditions on any application at its sole discretion.


4. Referral Tracking

Referrals are tracked through your unique affiliate link or code. It is your responsibility to:

Referral tracking windows, cookie durations, and attribution rules are configured by Fold. Additional details, including the referral attribution duration, will be provided to approved affiliates and may be updated from time to time.


5. Commission Structure

Approved Affiliates are eligible to earn the following commissions on qualifying referrals:

Fold may introduce, adjust, or retire commission-eligible products or fee types over time. Commission rates and eligible products in effect at any given time will be provided to approved affiliates and may be updated from time to time, subject to Section 13 (Program Modifications).

Commissions are only earned on completed, valid payments actually received by Fold and are subject to the refund, chargeback, and reversal terms in Section 7.


6. Commission Payment Timing

Commissions are calculated based on qualifying payments received by Fold. Commissions generally become payable only after any applicable refund or dispute period for the underlying payment has passed, consistent with Section 7 (Refunds, Chargebacks, and Commission Reversals).

Additional program details, including the commission payment schedule, any minimum payout threshold, and accepted payment methods, will be provided to approved affiliates and may be updated from time to time.

Fold reserves the right to withhold or delay payment of any commission that is under review for accuracy, fraud, or compliance with this Agreement.


7. Refunds, Chargebacks, and Commission Reversals

If a referred user’s payment is refunded, reversed, disputed (including via chargeback), or otherwise not ultimately collected by Fold, any commission associated with that payment will be reversed or deducted from your account, including from future commission payments if necessary.

When promoting Fold, you agree not to:

Violation of this section may result in forfeiture of unpaid commissions, suspension, or termination from the Program, as described in Section 12.


9. Brand Usage

Fold grants Affiliates a limited, revocable, non-exclusive license to use Fold’s name, logo, and approved promotional materials solely for the purpose of promoting Fold through the Program.

This license ends immediately upon suspension or termination of your Affiliate status.


10. FTC Disclosure Requirements

If you are located in the United States, or otherwise promoting Fold to a U.S. audience, you are responsible for complying with the Federal Trade Commission’s (“FTC”) guidelines on endorsements and affiliate marketing disclosures, and any equivalent disclosure requirements in your own jurisdiction.

At minimum, you agree to:

You are solely responsible for your own compliance with applicable advertising and disclosure laws. Fold is not responsible for an Affiliate’s failure to disclose the relationship appropriately.


11. Taxes

You are solely responsible for determining and paying any taxes owed on commissions earned through the Program. Fold may collect tax information (such as a W-9 or equivalent) as required by law before issuing payments, and may be required to report commission payments to tax authorities.


12. Suspension or Termination

Fold may suspend or terminate your participation in the Program, with or without notice, at its sole discretion, including if:

13. Program Modifications

Fold may modify the Program at any time, including changes to commission rates, eligible products, payout terms, tracking mechanics, or this Agreement itself. Fold may also suspend or discontinue the Program entirely.

Material changes will be communicated to approved affiliates by email or other reasonable means. Continued participation in the Program after a change takes effect constitutes your acceptance of the updated terms. If you do not agree to a change, your only remedy is to stop participating in the Program.


14. Limitation of Liability

To the full extent permitted by law, Fold and its officers, employees, agents, contractors, and affiliates (“Fold Entities”) provide the Program “AS IS” and “AS AVAILABLE,” without warranties of any kind, express or implied, including as to the availability, accuracy, or continuity of referral tracking, commission calculations, or payouts.

Fold Entities are not liable for any indirect, incidental, consequential, or special damages, including lost profits or lost commissions, arising from or related to the Program, this Agreement, or your participation in it.

In no event shall Fold’s total liability to you under this Agreement exceed the total commissions actually paid to you in the 3 months preceding the event giving rise to the claim.

This Agreement is governed by the same jurisdiction and dispute resolution terms set out in Fold’s Terms of Service.

Some jurisdictions limit such disclaimers; portions of this section may not apply to you.
